How to Register a Foreign Corporation in Maryland

Below is a step-by-step guide to successfully obtaining your corporation’s Certificate of Authority in Maryland through the foreign registration process:

1. Obtain a Certificate of Good Standing

The first thing you will need obtain is documentation that proves your corporation is active and in good standing in its home state. Depending on the state, this document can be called:

  • Certificate of Good Standing
  • Certificate of Status
  • Certificate of Existence

Maryland requires that this certificate be dated within 60 days of your foreign registration filing submission date.

2. Appoint a Maryland Resident Agent

3. File a Maryland Foreign Corporation Registration

To apply for foreign corporation status in Maryland, submit the Foreign Corporation Qualification filing to the Maryland State Department of Assessments and Taxation (SDAT). The easiest and quickest way is use the Maryland Business Express portal and create a state account for your corporation.

This filing asks for the following information:

  • Corporation name*
  • State of incorporation (home or domestic state)
  • Principal office address
  • Maryland resident agent information
  • Certificate of Good Standing or similar document

*Note: Check to see if your corporation’s name is available on the Maryland Business Name Search database. If it is not, you can still foreign register with your corporation’s original name, but you will need to choose a different name to operate under in the state. There is a space on the foreign registration application to indicate an alternate name for your corporation if the original name is not available.

If you choose to submit your application online, you will need to upload a .pdf version of your Certificate of Good Standing to complete the application.

5. Stay in Compliance After Registration

All active registered businesses must submit an annual report to continue meeting Maryland compliance standards. The basic annual report fee is $300, and must be received by the state by April 15th each year. It can be submitted online, by mail, via drop box, or in person.

Note: If you plan to submit your report as a hard copy (by mail, drop box, or in person), download the appropriate year’s form from the SDAT Business Forms site.

Other state compliance requirements are:

  • Maintaining current Maryland resident agent information on state record
  • Updating state records when and if your corporation’s information changes (addresses, officer names, etc.)
  • Meeting Maryland state tax and property requirements

What do I need to know about the Maryland Annual Report?

You are only required to file the Maryland annual report once per year, but not in the same year you register your corporation. For example, if your corporation is registered in January 2027, you will file your first annual report and pay the $300 fee on or before April 15th, 2028. If your corporation is registered in December 2027, you will need to file the annual report and pay the $300 fee by April 15th, 2028, as well. So, timing is everything when getting your registration submitted. If it’s close to the end of the business year, you can save yourself some money by waiting until the beginning of the year to submit the registration paperwork.

Maryland combines the annual report with the Business Personal Property Tax Return (PPR). The PPR must be filed even if your foreign corporation does not own or lease any property in the state. If your foreign corporation does own or lease property in Maryland, the best practice would be to consult a tax expert to help you calculate any additional fees you may owe.
